I help clients clarify and document important business relationships, including with strategic partners, customers, vendors, distributors, etc.
My goals are to provide high quality and practical protection of the client’s interests, while addressing the counter-party’s interests sufficiently to enable the parties to close the deal quickly and get to work, and while keeping costs reasonable.
Projects start with an initial intake process to understand the context and what each party really cares about. As part of that process I work to clarify client’s priorities, and we discuss strategy for resolving critical issues.
I help to streamline contract flow by working with clients to create contract templates and a contract process to match the actual sales cycle and business needs in the trenches.
Ideally this is done as a three-phase approach: (i) a deep-dive learning phase to understand the business, its market, typical customers, future plans, and existing infrastructure; (ii) an iterative process to develop robust and user-friendly template agreements based on client’s priorities; and (iii) a maintenance phase where I can provide ongoing support for individual negotiations as needed, and update templates as the business evolves.
For a very limited number of clients I can serve as in-house general counsel as needed, but without the cost of a full-time hire
I am not a full-service law firm. Rather, the best fit is where a full-service law firm recommends me to a valued client that wants high-quality and cost-effective in-house type support, but without a full-time hire.
